1. Agreement
Please review the following terms and conditions (the "Terms") carefully before using Kulit's Services, as they constitute a legally binding agreement between Kulit ("Kulit," "we," "our," "us") and you ("you" or "your"). Kulit provides a life management assistant delivered through WhatsApp and Telegram, along with a companion web application at kulit.ai and related data, scheduling, and productivity services (together, the "Services"). As a user of the Services, or a representative of an entity that is a user, you are subject to these Terms. Your use of the Services constitutes your agreement to these Terms, including our Privacy Policy, which is incorporated herein by reference.
If you do not understand these Terms or the Privacy Policy, do not agree to be bound by them, or if your jurisdiction will not honor them, you must immediately stop using the Services.

2. Privacy Policy
Our Privacy Policy, which may be amended from time to time, is part of these Terms. By using the Services, you acknowledge that you have read, understood, and agreed to our Privacy Policy, available at https://kulit.ai/legal/privacy.
3. Eligibility
In order to use the Services, you must be at least eighteen (18) years old, able to enter into contracts, and agree to these Terms.
By using the Services, you represent and warrant that you meet all the requirements listed above and that you will not use the Services in a way that violates any laws or regulations. We may refuse service, close accounts, and change eligibility requirements at any time.
4. Term
The Term begins when you create an account or begin using the Services and continues as long as you use the Services. Certain provisions of these Terms survive termination of your account (see Section 24 below). Using the Services means that you have accepted these Terms. If you sign up for the Services on behalf of a company or other entity, you represent and warrant that you have the authority to accept these Terms on its behalf.
5. Termination of Your Account
5a. Voluntary Termination
You or Kulit may terminate your account at any time and for any reason. We may suspend our Services to you at any time, with or without cause. If we terminate your account without cause, we will refund a prorated portion of any prepaid subscription fees within 60 days, less any outstanding charges.
We will not refund prepaid fees if you have violated these Terms. Following termination, we will retain your account data for a grace period of up to 72 hours, during which you may contact us to reverse the deletion. After that period, we will permanently delete your account and all associated data in accordance with our Privacy Policy. We may, however, begin permanent deletion immediately upon termination for cause.
5b. Termination for Non-Payment
If your account has fees owing that are more than thirty (30) days overdue, we will suspend your account. You will not be able to use the Services until all outstanding fees are paid. If your account has fees owing that are more than sixty (60) days overdue, we will terminate your account for non-payment. Once terminated for non-payment, we have the right to immediately and permanently delete your account and all associated data.
5c. Inactive Accounts
If you do not interact with the Services for six (6) or more consecutive months, we may treat your account as inactive. We will notify you before taking any action. Thirty (30) days after notification, we have the right to permanently delete the account and all associated data.
6. Changes to Terms and Privacy Policy
We may change these Terms or our Privacy Policy by posting revised versions on our website and/or by sending a notification to the messaging platform or email address associated with your account. Updated Terms or Privacy Policy will be effective immediately and apply to any continued or new use of the Services. We may change the Services at any time.
7. Account Security
Your account is accessed through your verified phone number on a supported messaging platform (WhatsApp or Telegram) and, for the web application, through Google OAuth. You are responsible for maintaining the security of your devices and accounts. You will immediately notify us if you learn of any unauthorized use of your account. We are not responsible for losses resulting from unauthorized access to your messaging accounts, Google account, or devices.
8. How the Services Work
Kulit is a life management assistant that operates primarily through messaging platforms (WhatsApp and Telegram). The Services include:
Morning Digest: Each day, Kulit scans your connected Google Calendar, Gmail, and Google Tasks and delivers a personalized summary of your day via your chosen messaging platform.
Task and List Management: You can create and manage tasks, grocery lists, reminders, and calendar entries by sending natural language messages to Kulit.
Gmail Intelligence: With your permission, Kulit scans your email for travel confirmations, package deliveries, appointment reminders, and similar actionable information.
Groups and Coordination: You can form groups with other Kulit users (for example, a household) to share lists and coordinate responsibilities.
AI Processing: Your messages and data are processed by artificial intelligence models to understand your requests and generate responses. Kulit uses Google Gemini for this processing. Your data is handled in accordance with our Privacy Policy.
Web Application: A companion web app at kulit.ai handles account setup, Google service authorization, calendar selection, group management, and billing.
9. Platform Dependency
The Services are delivered through third-party messaging platforms, currently WhatsApp (operated by Meta Platforms, Inc.) and Telegram (operated by Telegram FZ-LLC). The availability, reliability, and functionality of the Services depend on the continued operation and accessibility of these platforms. Kulit does not control these platforms and is not responsible for interruptions, outages, policy changes, or discontinuation of service by any third-party messaging platform. If a messaging platform becomes unavailable, Kulit will make reasonable efforts to support migration to an alternative platform, but we do not guarantee uninterrupted service during such transitions. You acknowledge that changes to a messaging platform's terms, policies, or technical capabilities may affect your use of the Services.
10. Third-Party Services and Integrations
The Services integrate with third-party platforms including Google (Calendar, Gmail, Tasks), Meta (WhatsApp Business Platform), Telegram (Bot API), and payment processors (Stripe and PayMongo). Your use of these third-party services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or conduct of any third-party service. If you revoke Kulit's access to a connected Google account, the features that depend on that connection will stop working, but your Kulit account will remain active.
11. Acceptable Use
You agree not to use the Services to:
(a) violate any applicable law or regulation, including privacy laws and laws governing the monitoring or recording of communications;
(b) attempt to manipulate, exploit, reverse-engineer, or probe the AI systems underlying the Services, including through prompt injection, adversarial inputs, or any technique designed to circumvent safety measures or elicit unintended behavior;
(c) use the Services to generate, store, or transmit content that is unlawful, harassing, defamatory, obscene, or fraudulent;
(d) interfere with or disrupt the Services, including by placing an unreasonable load on the infrastructure;
(e) attempt to access another user's account or data;
(f) use the Services for any automated purpose, including scraping, crawling, or systematic data extraction;
(g) use the Services as a component of any other product or service without our prior written consent.
A violation of this section is grounds for immediate suspension or termination of your account.
12. Disputes Between Users
If you use the group features to share lists or coordinate responsibilities with other users, you assume all risk of those interactions. Kulit does not control, mediate, or resolve disputes between group members. You will resolve any disputes with other users directly.
13. Payments and Subscriptions
13a. Plans and Pricing
Kulit offers a free 30-day trial with full access to all features. After the trial, you may subscribe to a paid Personal plan or continue on a free tier with limited functionality. Our charges are posted on our website and may change from time to time. Subscription fees are prepaid on a monthly or annual basis.
13b. Free Tier
If you do not subscribe after your trial ends, your account transitions to a free tier. On the free tier, Kulit responds when you message first but does not send proactive communications such as morning digests, reminders, or coordination alerts.
13c. Payment Processing
Payments are processed through Stripe (for USD transactions) or PayMongo (for PHP transactions). Your payment information is collected and stored by these processors, not by Kulit. Payment processing is governed by the respective terms of Stripe (https://stripe.com/legal) or PayMongo (https://www.paymongo.com/legal). You are responsible for reviewing those terms.
13d. Recurring Payments
By subscribing to a paid plan, you authorize us to charge the applicable subscription fee on a recurring basis through your selected payment processor. You are responsible for keeping your payment information current. If we are unable to process your payment, we will notify you and may suspend your account in accordance with Section 5b.
13e. Refunds
Except as provided in Section 5a regarding termination without cause, we do not offer refunds.
13f. Changes to Pricing
We may change our fees at any time by posting updated pricing on our website and notifying you. If you have an active subscription, your current rate will remain in effect until the end of your current billing period. You will be subject to updated rates upon renewal or if you change plans.
14. Limited License to Use the Services
Kulit owns or is licensed to use all proprietary rights in the Services, including patents, trademarks, service marks, and copyrights. Contingent upon your compliance with these Terms and our Privacy Policy, Kulit grants you a limited, non-transferable, non-exclusive, non-assignable, revocable license to use the Services for your personal, non-commercial purposes (or for internal business purposes if you represent an entity).
This license does not include any resale of the Services, any use of data mining, robots, or similar data gathering tools, or any use of the Services beyond their intended purpose. All rights not expressly granted are reserved by Kulit. The license granted by us terminates if you do not comply with these Terms.
15. Intellectual Property Rights
All content included in or made available through the Services, such as text, graphics, logos, and software, is the property of Kulit or its content suppliers and is protected by applicable intellectual property laws. The Kulit name, logo, and all related marks are trademarks of Kulit and may not be used without our prior written consent.
16. Your Data and License Grant to Kulit
You retain ownership of all data you provide to the Services, including your tasks, lists, calendar entries, and messages ("User Data"). By using the Services, you grant Kulit a limited license to access, process, store, and transmit your User Data solely for the purpose of providing and improving the Services. This license terminates when you delete your account, subject to our data retention policies described in the Privacy Policy.
If you submit feedback, suggestions, or feature requests ("Feedback"), you grant Kulit a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that Feedback into the Services without obligation to you.
17. Third-Party Data in Your Accounts
When Kulit accesses your Gmail, Calendar, or Tasks with your permission, the information retrieved may contain personal data belonging to individuals other than you (for example, names, email addresses, or phone numbers of people who have communicated with you or appear in your calendar events). You represent and warrant that you have the right to grant Kulit access to your email and calendar accounts, and you acknowledge that Kulit processes such third-party information solely as it appears incidentally in your authorized data. Kulit does not independently collect, index, or build profiles from third-party information contained in your accounts.
Kulit's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. For details on how Google data is handled, see Section 10 of our Privacy Policy.
18. Artificial Intelligence Processing
The Services use artificial intelligence and large language models to process your messages and data. You acknowledge the following:
AI generated responses may occasionally be inaccurate, incomplete, or unexpected. Kulit may extract incorrect dates, times, locations, or other details from your email or calendar. You should not rely solely on information provided by the Services for time-sensitive commitments such as travel, medical appointments, legal deadlines, or financial obligations. You are responsible for independently verifying the accuracy of any information provided by the Services before relying on it.
Kulit is not liable for actions you take or fail to take based on AI generated content, including missed events, incorrect reminders, wrong addresses, or misidentified scheduling conflicts.
Your messages and associated context are sent to AI model providers (currently Google Gemini) for processing. We do not use your data to train AI models. Our Privacy Policy describes in detail how your data is handled during AI processing.
19. Compliance with Applicable Laws
You represent and warrant that your use of the Services will comply with all applicable laws and regulations. You are responsible for determining whether the Services are suitable for your use in light of any regulations that may apply to you.
20. Disclaimers
20a. General Disclaimer
You assume all risk associated with your use of the Services. Kulit is not responsible for missed reminders, incorrect calendar entries, inaccurate AI responses, errors in information extracted from your email, or any other inaccuracy in the Services. The Services are a productivity tool, not a substitute for your own judgment and attention.
20b. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. KULIT DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KULIT DOES NOT REPRESENT THAT THE SERVICES WILL BE SECURE, TIMELY, UNINTERRUPTED, OR ERROR-FREE.
20c. Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KULIT SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR LOST PROFITS, REVENUE, OR FOR INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL, RELIANCE, OR EXEMPLARY DAMAGES, OR INDIRECT DAMAGES OF ANY KIND, HOWEVER CAUSED, WHETHER FROM BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, OR ANY OTHER LEGAL CAUSE OF ACTION ARISING FROM OR IN CONNECTION WITH THESE TERMS.
20d. Limitation of Liability
THE MAXIMUM LIABILITY OF KULIT ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE TOTAL AMOUNT OF FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
21. Indemnification
You agree to indemnify, defend, and hold harmless Kulit, its affiliates, and its respective directors, officers, employees, and agents from any liability, loss, claim, and expense (including reasonable attorney's fees) related to (i) your breach of these Terms, (ii) your access to or use of the Services, (iii) your violation of any applicable law or regulation, (iv) your violation of any third party's rights, or (v) any third-party claim arising from your use of the group features or from information contained in accounts you have connected to the Services.
22. Governing Law, Dispute Resolution, and Class Action Waiver
22a. Governing Law
This Agreement, the entire relationship between you and Kulit, and any litigation or other legal proceeding between you and Kulit shall be governed by and construed in accordance with the laws of the State of Washington, without giving effect to its choice of law rules.
22b. Arbitration
Any dispute, claim, or controversy arising out of or relating to this Agreement, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Seattle, Washington before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
22c. Class Action Waiver
YOU AND KULIT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND KULIT AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING.
23. Third-Party Websites
The Services may provide links to other websites or services operated by third parties. We do not endorse such websites or their contents and have no control over them. We are not responsible for any loss caused by your use of third-party websites. If you leave the Services and access other websites, you do so at your own risk and the policies of those websites will apply.
24. General Provisions
24a. Waiver
The failure by either party to enforce any provision of this Agreement at any time will not be construed as a waiver of that provision.
24b. Severability
If any section of these Terms is deemed invalid or unenforceable, that section shall be severed and shall not affect the validity and enforceability of the remaining provisions.
24c. Equitable Relief
If you violate these Terms, we may seek injunctive relief or other equitable relief.
24d. Assignment
You may not assign any of your rights under this Agreement. We may assign our rights to any other individual or entity at our discretion.
24e. Force Majeure
We are not liable for delays or failure in performance of any part of the Services from causes beyond our control, including acts of God, changes to law or regulations, embargoes, war, terrorist acts, riots, fires, earthquakes, floods, strikes, power outages, acts of hackers, and acts or omissions of third-party platform providers (including messaging platforms, cloud infrastructure providers, and API providers).
24f. Notices
Any notice to you will be effective when sent to the messaging platform account or email address associated with your account. Any notice to us will be effective when delivered to support@kulit.ai.
24g. No Third-Party Beneficiaries
These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and Kulit. No third party, including any individual whose personal information may be incidentally processed through your use of the Services, may claim to be a beneficiary of these Terms.
25. Survival
Even if this Agreement is terminated, sections that by their nature should survive termination will continue to apply, including: Intellectual Property Rights, Your Data and License Grant to Kulit, Third-Party Data in Your Accounts, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution and Class Action Waiver, No Third-Party Beneficiaries, and Entire Agreement.
26. Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and Kulit and supersede all prior agreements, representations, and understandings.
